ALL ABOUT E-FORM INC– 22A

 

On 21st February 2019, Ministry of Corporate Affairs has introduced E-form INC-22A for address validation of all registered companies under the Companies Act, 2013.

E-Form INC-22A is required to be filed only after e-Form AOC-4 and e-Form MGT-7 for financial year 2017-2018.This form indicates by the name tag ACTIVE (Active Company Tagging Identities and Verification. This form was introduced to ensure that the companies E-file their details properly and accurately and to ensure that proper check is maintained.

 

APPLICABILITY OF FORM INC-22A:

Companies which are incorporated on or before 31st December,2017 should file the particulars of the company and the address validation of the registered office in E-form INC-22A on or before 25th of April 2017 with the registrar.

Following are the circumstances where a company is exempted from filing Form INC-22A:

  • Companies incorporated after 01.01.2018
  • Companies struck off from the Register
  • Companies under the process of strike-off
  • Companies under amalgamation
  • Companies under liquidation
  • Companies that are dissolved

 

RESTRICTIONS FOR FILING FORM INC-22A:

Under section 137 and section 92, if any company has not filed its due financial statements and annual returns or both with the registrar shall be restricted from filing the ACTIVE form.

If any company is under management dispute and has been recorded by the Registrar, then it shall be allowed to file E-Form INC– 22A.

 

Following information is required in Form INC-22A:

The following information must be provided while filing the e-form ACTIVE 22A

  • Name of the company 
  • Company Identification Number (CIN) – Company Identification Number (CIN) should be obtained from the Certificate of Incorporation issued to the company.  
  • Address of Registered office with Pincode – The address of the registered company will be auto-filled on submission of CIN.
  • Location: The details of location of the registered office can be obtained from the maps.
  •  E-mail, Mobile Number- Once the form is filled completely and of there are no errors there will be popup for ‘Send OTP’.

 

The Company must also provide the following additional  details:

Associated directors Information:  Director Identification Number(DIN) of every Director must be in a status of “Approved” and not in the status of “Disqualified”.

The following details to be provided : 

  • Number of Directors
  • DIN
  • Status of DIN 

Auditor Information: Form ADT-1 for the financial year 2018-19 must be filed by the company for the appointment of the auditor.

The following details to be provided:

  • PAN
  • Firm Registration Number
  • Period of appointment 
  • Name of the firm

Cost auditor Information (if applicable): Form CRA-2 must be filed by the company for the appointment.

The Following details to be provided:

  • Name of individual/firm/llp
  • Membership number / Firm Registration number as the case may be
  • Financial year to be covered

CEO/CFO/Key Managerial Personnel MD/CEO/Manager/Whole Time Director Information:

  • Name
  • DIN/PAN
  • Designation

Company Secretary, if applicable

  • Name
  • DIN/PAN
  • Membership Number
  • Chief Financial Officer, where applicable
  • Name
  • PAN

Details of the Certifying Authority (CS/CA):

  • DSC of certifying authority
  • Membership number
  • CA/CS/Cost Accountant 

 

AOC – 4 and MGT – 7 filed for the Financial Year 2017-18:

AOC- 4 and MGT – 7 for both the forms must be furnished In order to have an SRN, both the forms must be filed within the specified time period.

 

Attachments Required:

A photograph of the registered office of the Company in which one of the Directors of the Company is the present (internal and external photo) must be attached along with this form.

FAQ’s:

 

1.How many Director’s are required to certify the e-Form INC-22A?

Ans. Mandatory two Director’s DSC are required to attached in the e-Form INC-22A.

 

2. How many photos are required to be attached ?

Ans. Mandatory two photos are required to be attached.

 

3. Is Certification of Professional mandatory required ?

Ans. DSC is mandatory required to be attached of one Practicing Professional.

 

4. If incase, Company does not file Active Form i.e e-Form INC-22A?

Ans. Companies, which did not file the e-Form INC-22A, in Master Data of those Companies Status will be Active Non-Compliant.

Status of Company gets updated immediately once, the Active Compliant Form gets uploaded and approved the Ministry.

 

5. Is e-Form INC-22A taken on STP basis or it is non-STP e-Form ?

Ans. E-Form INC-22A is an STP Form.

 

6.Does Challan gets generated in case of e-Form INC-22A?

Ans. Yes acknowledgment Chalaln with SRN does gets generated in case of e-Form INC-22A.

 

7. Last date to file e-Form INC-22A?

Ans. e-Form INC-22A is required to be filed on or before 25th April, 2019.

 

8. Fees to file the e-Form INC-22A beyond 25th April, 2019?

Ans. Fees of Rs.10,000/- is required to be paid for for e-Form INC-22A after 25th April, 2019.

But, right now CFSS Scheme, is going on, so till 31st December, 2020 we can file INC-22A for pending Company without any fees.

 

9. Can mail id of Company can be used different from same prefilled in INC-22A for sending OTP?

Ans. Yes, another mail id can be mentioned in place of mail id of the Company, and OTP can be send on same.
