Initial Step: Acquiring DSC and DIN Digital Signature Certificate (DSC) and Director Identification Number (DIN) are essential for directors involved in Private Limited Company registration in India. These credentials are required for filing company registration paperwork. To get them, you must submit specific scanned documents and relevant details. Step 2: Name Approval You must submit a selection of 1 to 6 proposed company names to the Ministry of Corporate Affairs (MCA). The approval depends on availability of the names, adherence to naming guidelines, and MCA’s processing timeline. Typically, approval of name is received within 2 to 3 working days.

Step 3: Drafting MOA and AOA Electronically The Memorandum of Association (MOA) and Articles of Association (AOA) are prepared online using Spice MOA (INC-33) and Spice AOA (INC-34). This procedure generally takes a few days for completion.

Step Four: Filing for Company Registration After drafting e-MOA and e-AOA, you need to submit the incorporation Spice Form INC-32 together with links to Spice MOA (INC-33) and Spice AOA (INC-34) to the MCA. The MCA typically approves the incorporation application within 5 to 7 days, depending on their workload. It is mandatory to apply for forms 49A and 49B alongside SPICe. Failure to submit these forms within 2 days of submitting SPICe (INC-32) will result in the incorporation application being deemed invalid.
