Change Company Name

Changing a company's name is one of those projects that founders treat as a branding exercise and lawyers treat as a constitutional amendment — and the lawyers are right. Under Section 13 of the Companies Act 2013, the name of a company sits in Clause I of the Memorandum of Association, and altering the Memorandum requires a special resolution of shareholders, central-government approval through the Registrar of Companies, and a fresh Certificate of Incorporation issued under Rule 29 of the Companies (Incorporation) Rules 2014. The new name takes effect from the date of issue of the new CoI — not from the date of the special resolution, not from the date of board approval, and emphatically not from the date the founders changed the website.

Get the sequence wrong and the consequences are surgical — Form INC-24 rejected on objection, MGT-14 not filed within 30 days, the new name approved but the company still legally bears the old one because the new CoI hasn't issued, contracts signed in the new name unenforceable, GST / PAN / TAN / bank / trademark records inconsistent across registers, and — for regulated entities — sectoral regulators refusing to recognise the change until the entire chain of post-CoI updates is closed out.

What a Name Change Actually Involves Under Section 13

• Name Search & Reservation:: The proposed name is run against the MCA name database, the Trade Marks Registry (Class-wise) and the IPR database. Reservation is sought through the RUN (Reserve Unique Name) web service or SPICe+ Part A and is valid for 20 days from approval (extendable on payment).

Board Resolution & Special Resolution (Section 13):
The Board approves the proposed name and convenes an EGM. Members pass a special resolution authorising the alteration of Clause I of the MOA. Where the AOA is also being amended, a parallel Section 14 resolution is passed at the same meeting.

• MGT-14 Within 30 Days:: The special resolution and altered MOA / AOA are filed with the ROC on Form MGT-14 within 30 days of the EGM under Section 117. Late filing attracts MCA additional-fee slabs and can hold up the INC-24 application.

• Form INC-24 to the Central Government / RD:: INC-24 is the substantive name-change application. It carries the resolution, altered MOA / AOA, an explanatory rationale, the RUN approval letter, and an undertaking on absence of pending litigation / regulatory action that bars a name change.

• Fresh Certificate of Incorporation Under Rule 29:: On approval, the ROC issues a fresh CoI bearing the new name, with the old CoI noted on the new certificate. The change of name is effective from the date of issue of the new CoI, and not earlier.

• Section 14 AOA Amendment (Where Required):: Where the AOA references the old name, a parallel Section 14 amendment is passed and filed; private-to-public or public-to-private conversion bundled into a name change is a separate Section 14 process with its own RD timeline.

• Post-CoI Update Cascade:: PAN and TAN amendment with the Income-Tax Department, GST registration amendment (Core fields), IEC, MSME / Udyam, Shops & Establishments, professional tax, EPFO and ESIC, bank account name change with fresh KYC, trademark applicant change, domain, email signatures, letterheads, contracts and vendor / customer master records — all reconciled.

Why DIY Name Changes Stall

Common failure modes — proposed name rejected as undesirable / similar to a registered trademark; MGT-14 filed late and INC-24 then refused; explanatory statement to the EGM not satisfying Section 102 disclosure standards; AOA amendment forgotten and the new CoI inconsistent with the AOA; PAN / GST left un-updated for months and ITC / refunds blocked; trademark applicant not changed and trademark prosecution stalls. Each fixable, but only through rectification filings and, in stubborn cases, condonation.
