End-to-end change of company name โ RUN / SPICe+ Part A name approval, special resolution, MGT-14, Form INC-24, MOA / AOA amendment and fresh Certificate of Incorporation.
Changing a company's name is one of those projects that founders treat as a branding exercise and lawyers treat as a constitutional amendment โ and the lawyers are right. Under Section 13 of the Companies Act 2013, the name of a company sits in Clause I of the Memorandum of Association, and altering the Memorandum requires a special resolution of shareholders, central-government approval through the Registrar of Companies, and a fresh Certificate of Incorporation issued under Rule 29 of the Companies (Incorporation) Rules 2014. The new name takes effect from the date of issue of the new CoI โ not from the date of the special resolution, not from the date of board approval, and emphatically not from the date the founders changed the website.
Get the sequence wrong and the consequences are surgical โ Form INC-24 rejected on objection, MGT-14 not filed within 30 days, the new name approved but the company still legally bears the old one because the new CoI hasn't issued, contracts signed in the new name unenforceable, GST / PAN / TAN / bank / trademark records inconsistent across registers, and โ for regulated entities โ sectoral regulators refusing to recognise the change until the entire chain of post-CoI updates is closed out.

Board Resolution & Special Resolution (Section 13):
The Board approves the proposed name and convenes an EGM. Members pass a special resolution authorising the alteration of Clause I of the MOA. Where the AOA is also being amended, a parallel Section 14 resolution is passed at the same meeting.
Common failure modes โ proposed name rejected as undesirable / similar to a registered trademark; MGT-14 filed late and INC-24 then refused; explanatory statement to the EGM not satisfying Section 102 disclosure standards; AOA amendment forgotten and the new CoI inconsistent with the AOA; PAN / GST left un-updated for months and ITC / refunds blocked; trademark applicant not changed and trademark prosecution stalls. Each fixable, but only through rectification filings and, in stubborn cases, condonation.
Proposed name searched across MCA, IPR and Trade Marks Registry (Class-wise) before RUN / SPICe+ Part A โ undesirable-name rejection avoided.
Section 13 special resolution and Section 117 MGT-14 filed within 30 days โ INC-24 application not held up by a late MGT-14.
Explanatory rationale, undertakings, no-pending-litigation declarations and clean attachments โ INC-24 cleared without resubmission.
Section 13 MOA amendment and Section 14 AOA amendment passed and filed together โ no inconsistency between MOA, AOA and the new CoI.
New Certificate of Incorporation issued under Rule 29 with the old CoI explicitly noted โ continuity of legal personality preserved.
PAN, TAN, GST, IEC, MSME, bank, trademark, domain and contracts โ all updated under one engagement, not handed back as a checklist.
MCA, IPR and Trade Marks Registry database searches; RUN / SPICe+ Part A application; 20-day reservation secured.
Board approves proposed name; EGM convened with Section 102-compliant explanatory statement; clear-day notice issued to members.
