The fee is rarely where the dispute happens. Status mis-classification, IP ownership, post-engagement non-compete, and termination payouts โ that's where the money is.
The legal architecture: Indian Contract Act 1872 (offer, acceptance, consideration, free consent), Specific Relief (Amendment) Act 2018 (specific performance / injunction the default remedy for breach of confidentiality and IP), Section 27 ICA (post-termination non-compete restrictions void unless protecting a legitimate business interest), Income-tax Act (Section 194J TDS @ 10% on professional fees, Section 9 for non-resident consultants), CGST Act 2017 (18% GST on services, RCM where consultant is unregistered, place-of-supply rules for cross-border), DPDP Act 2023 (where the consultant processes personal data on behalf of the principal โ data fiduciary / processor architecture), IT Act 2000 (Section 43A / 72A for confidentiality and reasonable security practices), and Companies Act 2013 (Section 197 / 188 where the consultant is a related party or director).
