Step One: Securing DSC and DIN Digital Signature Certificate (DSC) and Director Identification Number (DIN) are mandatory for directors involved in Private Limited Company registration in India. These credentials must be submitted for filing company registration paperwork. To obtain them, certain scanned documents and details need to be provided. Step Two: Getting Name Approval You need to submit a set of 1 to 6 proposed company names to the Ministry of Corporate Affairs (MCA). The acceptance depends on name availability, adherence to naming guidelines, and MCA’s processing timeline. Typically, name approval is received within 48-72 hours.

Step Three: Electronic Drafting of MOA and AOA The Memorandum of Association (MOA) and Articles of Association (AOA) are prepared online using Spice MOA (INC-33) and Spice AOA (INC-34). This process generally takes a couple of days for completion.

Step Four: Filing for Company Registration After drafting e-MOA and e-AOA, you need to submit the incorporation Spice Form INC-32 together with links to Spice MOA (INC-33) and Spice AOA (INC-34) to the MCA. The MCA typically processes the incorporation application within 5 to 7 days, depending on their workload. It is mandatory to apply for forms 49A and 49B alongside SPICe. Not filing these forms within 48 hours of submitting SPICe (INC-32) may cause your application to be rejected as ‘Invalid’.
