Initial Step: Acquiring DSC and DIN Digital Signature Certificate (DSC) and Director Identification Number (DIN) are essential for directors involved in Private Limited Company registration in India. These credentials must be submitted for filing company registration paperwork. To acquire them, you must submit specific scanned documents and relevant details. Step Two: Getting Name Approval You need to submit a selection of one to six proposed company names to the Ministry of Corporate Affairs (MCA). The acceptance depends on name availability, adherence to naming guidelines, and MCA’s processing timeline. Typically, name approval is received within 2 to 3 working days.

Step 3: Drafting MOA and AOA Electronically The Memorandum of Association (MOA) and Articles of Association (AOA) are prepared online using Spice MOA (INC-33) and Spice AOA (INC-34). This process usually requires a couple of days for completion.

Step 4: Company Registration After drafting e-MOA and e-AOA, you have to submit the incorporation Spice Form INC-32 along with links to Spice MOA (INC-33) and Spice AOA (INC-34) to the MCA. The MCA typically approves the incorporation application within several working days, depending on their workload. It is required to apply for forms 49A and 49B alongside SPICe. Failure to submit these forms within 2 days of submitting SPICe (INC-32) will result in the incorporation application being deemed invalid.
