Initial Step: Acquiring DSC and DIN Digital Signature Certificate (DSC) and Director Identification Number (DIN) are essential for directors involved in Private Limited Company registration in India. These documents are required for filing company registration paperwork. To get them, you must submit specific scanned documents and relevant details. Step 2: Name Approval You must submit a list of 1 to 6 proposed company names to the Ministry of Corporate Affairs (MCA). The approval depends on name availability, adherence to naming guidelines, and MCA’s processing timeline. Typically, approval of name is received within a few working days.

Step 3: Drafting MOA and AOA Electronically The Memorandum of Association (MOA) and Articles of Association (AOA) must be drafted electronically using Spice MOA (INC-33) and Spice AOA (INC-34). This process usually requires a couple of days for completion.

Step 4: Company Registration After drafting e-MOA and e-AOA, you have to submit the incorporation Spice Form INC-32 along with links to Spice MOA (INC-33) and Spice AOA (INC-34) to the MCA. The MCA typically approves the incorporation application within several working days, depending on their workload. It is mandatory to apply for forms 49A and 49B alongside SPICe. Failure to submit these forms within 48 hours of submitting SPICe (INC-32) may cause your application to be rejected as ‘Invalid’.
