Initial Step: Acquiring DSC and DIN Digital Signature Certificate (DSC) and Director Identification Number (DIN) are essential for directors involved in Private Limited Company registration in India. These documents are required for filing company registration paperwork. To obtain them, certain scanned documents and details need to be provided. Step 2: Name Approval You must submit a list of up to six proposed company names to the Ministry of Corporate Affairs (MCA). The approval depends on name availability, adherence to naming guidelines, and MCA’s processing timeline. Typically, approval of name is received within 48-72 hours.

Step 3: Drafting MOA and AOA Electronically The Memorandum of Association (MOA) and Articles of Association (AOA) must be drafted electronically using Spice MOA (INC-33) and Spice AOA (INC-34). This procedure usually requires 2 to 3 days for completion.

Step Four: Filing for Company Registration After drafting e-MOA and e-AOA, you have to submit the incorporation Spice Form INC-32 together with links to Spice MOA (INC-33) and Spice AOA (INC-34) to the MCA. The MCA typically approves the incorporation application within a week, depending on their workload. It is mandatory to apply for forms 49A and 49B alongside SPICe. Failure to submit these forms within 2 days of submitting SPICe (INC-32) may cause your application to be rejected as ‘Invalid’.
