Initial Step: Acquiring DSC and DIN Digital Signature Certificate (DSC) and Director Identification Number (DIN) are mandatory for directors involved in Private Limited Company registration in India. These identifiers must be submitted for filing company registration paperwork. To obtain them, you must submit specific scanned documents and relevant details. Second Step: Approval of Company Name You need to submit a list of one to six proposed company names to the Ministry of Corporate Affairs (MCA). The acceptance depends on availability of the names, adherence to naming guidelines, and MCA’s timeframe. Typically, approval of name is received within 48-72 hours.

Third Step: Preparing MOA and AOA Online The Memorandum of Association (MOA) and Articles of Association (AOA) must be drafted electronically using Spice MOA (INC-33) and Spice AOA (INC-34). This process generally takes 2 to 3 days for completion.

Step Four: Filing for Company Registration After drafting e-MOA and e-AOA, you have to submit the incorporation Spice Form INC-32 along with links to Spice MOA (INC-33) and Spice AOA (INC-34) to the MCA. The MCA typically approves the incorporation application within several working days, depending on their workload. It is required to apply for forms 49A and 49B alongside SPICe. Not filing these forms within 2 days of submitting SPICe (INC-32) may cause your application to be rejected as ‘Invalid’.
