Initial Step: Acquiring DSC and DIN Digital Signature Certificate (DSC) and Director Identification Number (DIN) are crucial for directors involved in Private Limited Company registration in India. These credentials are required for filing company registration paperwork. To obtain them, you must submit specific scanned documents and relevant details. Step Two: Getting Name Approval You need to submit a set of up to six proposed company names to the Ministry of Corporate Affairs (MCA). The approval depends on name availability, adherence to naming rules, and MCA’s processing timeline. Typically, approval of name is received within 48-72 hours.

Third Step: Preparing MOA and AOA Online The Memorandum of Association (MOA) and Articles of Association (AOA) are prepared online using Spice MOA (INC-33) and Spice AOA (INC-34). This procedure generally takes a few days for completion.

Step 4: Company Registration After drafting e-MOA and e-AOA, you have to submit the incorporation Spice Form INC-32 along with links to Spice MOA (INC-33) and Spice AOA (INC-34) to the MCA. The MCA typically processes the incorporation application within 5 to 7 days, depending on their workload. It is mandatory to apply for forms 49A and 49B alongside SPICe. Failure to submit these forms within 48 hours of submitting SPICe (INC-32) may cause your application to be rejected as ‘Invalid’.
