Power of Attorney

A Power of Attorney (PoA) is one of the most powerful — and most misused — instruments in Indian law. Used correctly, it lets a trusted person sign deeds, operate bank accounts, defend a suit, manage tenants, register property, or close a transaction on your behalf when you cannot be physically present. Used carelessly, it has been the source of property frauds running into thousands of crores — which is exactly why the Supreme Court intervened in Suraj Lamps & Industries (P) Ltd. v. State of Haryana (2011) and held that a 'Sale through GPA' transfers no title in immovable property. Since that judgment, the law on PoA — and especially property PoA — has tightened considerably.

The legal architecture is built around the Powers of Attorney Act, 1882, the Indian Stamp Act, 1899 read with the State Stamp Schedule (rates differ widely — Maharashtra, Karnataka, Tamil Nadu, Delhi all charge differently, and a property PoA can attract stamp duty equivalent to a conveyance in some States), Section 17 of the Registration Act, 1908 (which makes PoA mandatorily registrable when it authorises sale of immovable property worth ₹100 or more), the Notaries Act, 1952 for notarisation, and — for NRIs and persons abroad — consularisation / apostille rules under the Hague Convention or via the Indian Embassy.

General PoA vs Special PoA — Pick the Right One

• General Power of Attorney (GPA):: Wide bundle of powers — banking, property management, litigation, tax, regulatory filings — usually for an extended period. Suited for absentee owners, NRIs delegating Indian affairs, business heads delegating routine operations. Higher stamp duty in most States; greater risk if drafted vaguely.

• Special Power of Attorney (SPA):: Narrow, transaction-specific — e.g., to sell one identified flat, to appear in one specified suit, to operate one specific bank account, to register one Sale Deed. Lower stamp duty, lower fraud risk, expires on completion of the act. Preferred wherever the purpose is a single transaction.

• Property PoA — Mandatory Registration:: After Suraj Lamps, any PoA that authorises sale, lease beyond one year, mortgage, or gift of immovable property must be registered under Section 17 of the Registration Act. An unregistered property PoA is inadmissible to prove the underlying authority — the agent cannot validly execute the Sale Deed.

• NRI / Overseas PoA — Consularisation or Apostille:: Executed before the Indian Embassy / Consulate (consularised) or before a notary in a Hague Convention country with apostille. On arrival in India, must be stamped within 3 months under Section 18 of the Indian Stamp Act and adjudicated where required.

Drafting Discipline That Keeps a PoA Enforceable

• Identification of Principal & Agent:: Full name, parentage, PAN, Aadhaar, passport details, photographs, specimen signatures of both — pinned to the document.

• Specific Powers, Not Boilerplate:: List each power with reference to the relevant statute / authority — 'sell, transfer, convey, register Flat No. ___ at ___' rather than 'do all acts necessary'.

• Duration & Revocation:: Fixed term (typically 1–3 years) or until completion of named transaction; revocation mechanism — written notice + sub-registrar intimation + newspaper publication for property PoA.

• Coupled with Interest:: Where the agent has a financial interest (e.g., developer in a development agreement), the PoA can be made irrevocable under Section 202 of the Contract Act — drafted carefully and limited to that interest.

• Stamp Duty & Registration:: State-correct stamp paper / e-stamping; sub-registrar registration where mandatory; biometric verification at registration where required.

• Witnesses & Photographs:: Two witnesses (with ID and address); recent photographs of principal and agent affixed; signed across the photographs.
