One Person Company Registration in India

The One Person Company (OPC), introduced by the Companies Act 2013, is the legal vehicle designed for the solo founder who wants limited liability + corporate structure + perpetual succession without bringing in a co-shareholder. Under Section 2(62) of the Companies Act 2013, an OPC is a private company with only one member. It bridges the gap between sole proprietorship (unlimited liability, no separate legal identity) and Pvt Ltd (which requires minimum 2 shareholders). For consultants, freelancers, single-founder startups in early stages, and family-business solopreneurs, the OPC is the right structural fit.

The framework: Section 3(1)(c) and Section 152 of the Companies Act 2013, the Companies (Incorporation) Rules 2014, and the SPICe+ form (INC-32) on the MCA21 V3 portal. By 2026, OPC registration is fully online, integrated with AGILE-PRO for GST / EPFO / ESIC / Bank / Professional Tax. Two key constraints: only an Indian citizen and resident can incorporate / be a member of an OPC (foreign citizens excluded), and one nominee is mandatory under Section 3(1)(c) — the nominee takes over the OPC on the member's death or incapacity.

OPC — What's Inside

• Single Member, Single Director Minimum:: The same person can be the sole shareholder and the sole director (subject to the resident-Indian condition).

• Mandatory Nominee:: A natural person (Indian citizen and resident) named in Form INC-3 who steps into ownership upon the member's death / incapacity. The nominee can be changed; consent in INC-2 is required.

• Perpetual Succession Through Nominee:: Unlike a sole proprietorship which dies with the owner, an OPC survives the member's death — the nominee assumes ownership.

• Limited Liability:: Member's liability is limited to share capital. Personal assets are protected.

• Statutory Compliance:: OPC must file MGT-7A (annual return), AOC-4 (financial statements). No AGM required (Section 96(1) proviso). Single-director OPC must hold at least 1 board meeting in each half of the calendar year.

Conversion Triggers (Section 18 and Rule 6, Companies (Incorporation) Rules):
OPC must convert into a Pvt Ltd or Public Ltd within 6 months if (a) paid-up capital exceeds ₹50 lakh, OR (b) average annual turnover for the immediately preceding 3 financial years exceeds ₹2 crore. Voluntary conversion to Pvt Ltd is allowed any time after 2 years from incorporation, or earlier if the financial thresholds are exceeded.

Why OPC vs Sole Proprietorship vs Pvt Ltd

• OPC vs Sole Proprietorship:: OPC has limited liability, separate legal identity, perpetual succession through nominee, and corporate structure that lenders and customers respect. Sole proprietorship has unlimited liability and dies with the owner. For any solo business with assets above ₹10-20 lakh, OPC is structurally superior.

• OPC vs Pvt Ltd:: Pvt Ltd requires 2 shareholders minimum; OPC works for true solo founders. Pvt Ltd is investor-friendly; OPC cannot easily raise equity from outside investors (would need conversion). For solo consultants, freelancers, content creators, and pre-fundraising single founders, OPC is the right fit. For founders planning Series A within 2 years, going directly to Pvt Ltd makes more sense.

• OPC vs LLP:: LLP requires 2 partners minimum. OPC works for solo. LLP has different compliance (LLP Form 8 / 11 vs Pvt Ltd MGT-7 / AOC-4). For solo professional services, OPC is the corporate option; LLP is the partnership option.
