Register your Pvt Ltd company in India with SPICe+ Part A & B, AGILE-PRO-S bundle, MOA/AOA drafting and post-incorporation compliance setup.
A Private Limited company is the structure every serious founder ends up at. It is what venture investors will fund, what banks lend to with the least friction, what lets you issue ESOPs, and what gives your team and customers the comfort of a separate legal identity. The trade-off is real compliance โ board meetings, audits, ROC filings โ but for any business with growth ambition, the structure pays for itself within the first funding conversation.
Registration today runs through the MCA V3 portal using the SPICe+ web form, with Part A reserving your name and Part B doing the heavy lifting โ incorporation, PAN, TAN, and an AGILE-PRO-S bundle that switches on GST, EPFO, ESIC, a bank account, and Professional Tax in the same filing. Done correctly, you walk away with a CIN, six registrations, and a clean post-incorporation calendar in 8-15 working days.
Incorporation procedure has stabilised on MCA V3, but several recent shifts directly affect how you file and what you do in the first six months.
Incorporation is a sequence โ each step depends on the last being clean. We run them in this order to avoid the rework that delays most filings.
We start with a 30-minute brief on directors, shareholders, capital structure, business activity and registered office state. This decides RoC jurisdiction, stamp duty (which varies by state), and whether you need any sectoral licence before commencing operations.
If a foreign director or shareholder is involved, we map the FDI sector route and start the apostille / consularisation track in parallel, because that is the long pole in most foreign-founder filings.
Each director and subscriber needs a Class-3 Digital Signature Certificate, issued after video KYC. For Indian residents, this is a same-day process; for foreign nationals, we use apostilled passport and address proof.
Existing DSCs are checked for V3 registration and validity. An expired or unregistered DSC at the SPICe+ stage is the single most common cause of last-minute filing delays.
Two name options are submitted to the Central Registration Centre with object clauses and significance. We run a trademark search, an MCA name-availability check, and a phonetic similarity check before submission to keep the rejection rate low.
Once approved, the name is reserved for 20 days. If incorporation is delayed beyond this, a fresh reservation is required, so Part B is queued and ready to file the moment Part A clears.
We draft the eMOA (INC-33) and eAOA (INC-34) tailored to your business activity, with clean main objects and standard articles that accommodate future ESOPs, preference shares and investor consents.
Stamp duty is computed against the state schedule based on authorised capital and registered office state. E-stamping happens inside SPICe+, so getting authorised capital right at this stage avoids a costly amendment later.
Part B carries incorporation, PAN, TAN, and up to three DIN applications for new directors. Alongside, AGILE-PRO-S requests GSTIN, EPFO, ESIC, the bank account, and Professional Tax registration.
INC-9 declarations from each subscriber, the registered office proof, utility bill, NOC from the owner, and KYC bundle are attached. The package is signed using all subscriber DSCs and uploaded together.
Once the RoC issues the Certificate of Incorporation, the CIN, PAN, and TAN arrive together. The bank account proposed in AGILE-PRO-S is activated, usually within a week of the partner bank's KYC sign-off.
Subscribers transfer their subscription amounts into the new account, share certificates are issued within 60 days with stamp duty paid, statutory registers are opened, and the post-incorporation calendar begins.
Two co-founders are launching a SaaS company. They want a clean cap table, ESOP space for early hires, and readiness for a seed round in 9-12 months. Numbers below are illustrative.
By Day 15 the founders have a CIN, an operating bank account, PAN, TAN, GST and EPFO numbers, and a ready-to-use share certificate template. Their seed-round data room starts the day the company starts.
The CIN is the start, not the end. The first six months are the highest-risk period for missed filings, and the penalties compound quickly.
Miss INC-20A and the company cannot commence business or borrow โ plus a โน50,000 penalty on the company and โน1,000 per day per director.
Share a brief on your founders, capital structure, and registered office state, along with each subscriber's PAN, Aadhaar, photo, and a recent address proof. If a foreign director is involved, send a passport scan early so we can begin the apostille track in parallel.
We come back within a working day with a structure recommendation, two suggested name options after a TM and MCA check, an authorised capital and stamp duty estimate, and a working-day timeline to certificate of incorporation. From there, every step runs on a single shared tracker until the post-incorporation calendar is live.
Name reservation, MOA / AOA drafting, stamp duty, SPICe+ and AGILE-PRO-S sequenced for the fastest clean path to a certificate of incorporation.
Incorporation plus GST, EPFO, ESIC, bank account and Professional Tax โ six registrations activated through a single filing, not six separate journeys.
Authorised capital and state schedule applied correctly so you do not overpay on incorporation or underpay and trigger a costly SH-7 amendment later.
Statutory registers, board meeting calendar, MGT-7 and AOC-4 plan set up at incorporation so investor due diligence does not become a clean-up project.
Apostilled or consularised documents, Class-3 DSC for foreign nationals, FC-GPR readiness and FDI route confirmation handled inside the engagement.
INC-20A within 180 days, first board meeting within 30 days, auditor appointment, MGT-7 and AOC-4 tracked on a single dated calendar โ no penalty surprises.
Director / shareholder mix, capital, activity, RoC jurisdiction and registered office state are confirmed in a structured brief.
Class-3 DSC for every subscriber and director, with apostilled documents handled for foreign nationals and V3 portal registration completed.
Two name options submitted through SPICe+ Part A after TM, MCA and phonetic checks; 20-day reservation issued within 24-48 hours of clean approval.
eMOA and eAOA drafted for your business activity; stamp duty computed against the state schedule and e-stamped inside SPICe+.
Integrated filing of SPICe+ Part B, AGILE-PRO-S, eMOA, eAOA, INC-9 and supporting documents for incorporation, PAN, TAN, GST, EPFO, ESIC, bank and PT.
Certificate of Incorporation with CIN issued, partner bank account activated, share certificates issued and statutory registers opened.
First board meeting within 30 days, auditor appointed, INC-20A filed within 180 days and the annual filing calendar handed over to the team.
Professional assistance with no hidden charges. Clear milestones and honest communication.
PAN, Aadhaar, recent photograph, identity and address proof for each subscriber. Passport with apostilled or consularised documents for foreign directors.
Latest electricity bill or property tax receipt, registered lease or rent agreement where applicable, owner NOC and ownership or occupation proof.
Class-3 DSC for every subscriber, specimen signatures, and existing DIN details. Up to three new DINs can be applied through SPICe+ Part B.
Proposed authorised and paid-up capital, main and ancillary object clauses, business activity description and INC-9 declarations from each subscriber.
Trademark certificate for the proposed name where relevant, sectoral licence requirements, foreign parent KYC and FDI documents, and Startup India eligibility papers.
