Changing your company name sounds like a paperwork exercise. It isn't. The name on your Certificate of Incorporation is part of MOA Clause I, and altering it triggers Section 13 of the Companies Act 2013 โ which means a special resolution, MGT-14 inside 30 days, Form INC-24 to the Regional Director, and a fresh Certificate of Incorporation under Rule 29. Every step has its own filing window, attachments, and rejection grounds.
Get any one of these wrong and the name sits in limbo: approved at the EGM but not on your invoices, not in your bank records, not on your GST certificate. The statutory mechanics of a name change have not changed, but the portal and procedural side keep moving. A few items worth flagging before you file.
Name changes are rarely cosmetic. Most boards approve them after one of six business events โ knowing which one applies to you sharpens the INC-24 rationale.
The change runs in six tightly linked phases. Skipping or reordering a step is the most common reason INC-24 gets rejected or the MGT-14 falls outside its window.
Two to four proposed names are tested against the MCA name search, the IPR India trademark database and the Trade Marks Registry on a class-wise basis. The shortlist goes into RUN or SPICe+ Part A with a written justification, and the chosen name is reserved for 20 days. If the name uses a regulated word or an existing trademark, a No-Objection Certificate is attached upfront to pre-empt rejection.
The board passes a resolution approving the proposed name and calling an Extraordinary General Meeting. A Section 102-compliant explanatory statement is drafted โ not a generic paragraph, but a sharp explanation of why the new name fits the business better. Clear 21-day notice is issued to all members and auditors, or a shorter notice is taken with consent of 95% of the members.
The EGM passes the special resolution under Section 13 altering MOA Clause I with a 75% majority of members voting. Where the new name reflects a structural change โ for example 'Private Limited' becoming 'Limited' or vice versa โ a Section 14 resolution altering the AOA is passed at the same meeting. Attendance, proxy and voting records are signed and filed.
Form MGT-14 is filed with the ROC within 30 days of the special resolution under Section 117, with the altered MOA and AOA as attachments. Missing the 30-day window forces a condonation of delay under Section 460, which adds 4 to 8 weeks and a separate Regional Director order before INC-24 can even be considered.
INC-24 carries the special resolution, board resolution, altered MOA and AOA, no-pending-litigation declaration, and a detailed rationale for the change. The Regional Director โ or in delegated cases the ROC โ reviews and approves, querying anything that looks rushed. We respond to RD queries the same week they arrive so the file does not slip into resubmission.
The Registrar issues a new CoI under Rule 29 with the old name explicitly noted on the certificate. The new name is legally effective from this date โ the same CIN, the same date of incorporation, the same paid-up capital. The PAN, GST, IEC, MSME, bank and trademark cascade begins the same day to keep the operational and legal records in sync.
Take Sharma Textiles Private Limited โ a Surat-based exporter that has pivoted from cotton trading to technical textiles and wants to rebrand as Aarav Technical Fabrics Private Limited.
Total cost to the company: government filing fees, stamp duty on the altered MOA and AOA per the Gujarat schedule, and the professional engagement fee โ but only one EGM, one MGT-14 and one round of RD queries.
The legal entity continues โ only its name has changed. But every register that carried the old name has to be updated, often within statutory windows. The cascade has more moving parts than first-time founders expect.
Until the cascade is closed, invoices issued in the new name while the PAN or GST registration still shows the old name create ITC reconciliation issues for your customers.
