Change Company Name

Changing your company name sounds like a paperwork exercise. It isn't. The name on your Certificate of Incorporation is part of MOA Clause I, and altering it triggers Section 13 of the Companies Act 2013 — which means a special resolution, MGT-14 inside 30 days, Form INC-24 to the Regional Director, and a fresh Certificate of Incorporation under Rule 29. Every step has its own filing window, attachments, and rejection grounds.

Get any one of these wrong and the name sits in limbo: approved at the EGM but not on your invoices, not in your bank records, not on your GST certificate. What's New for FY 2026-27

The statutory mechanics of a name change have not changed, but the portal and procedural side keep moving. A few items worth flagging before you file.

• V3 portal stable: RUN, MGT-14 and INC-24 are now fully on the MCA V3 portal with linked filing, web-form validation and JSON-based attachments. The old V2 PDF templates are no longer accepted.
• Stricter name search: MCA cross-checks proposed names against the Trade Marks Registry in real time during RUN. A trademark conflict in any class — not just the company's primary class — can trigger rejection.
• INC-24 explanatory rigour: The Regional Director is asking for sharper rationale paragraphs in INC-24 — not boilerplate. Vague reasons like 'business reasons' are being returned for resubmission.
• DPDP Act overlay: If your old company name appears in privacy notices, consent forms or data-processor contracts, the name change must be reflected in your DPDP-aligned privacy notice on the date the new CoI issues.
• Trademark coordination: Where the company holds a registered trademark in the old name, the post-CoI cascade now requires TM-M with the Trade Marks Registry inside a tight window to avoid renewal mismatch.

Why Companies Actually Change Names

Name changes are rarely cosmetic. Most boards approve them after one of six business events — knowing which one applies to you sharpens the INC-24 rationale.

• Rebrand or pivot: The original name no longer signals what the company actually does — and prospects, investors and recruits keep asking what exactly you do.
• Founder exit: A founder whose surname appears in the company name has exited or sold their stake, and the remaining team wants a clean break.
• Trademark conflict: An opposition or cease-and-desist makes the existing name commercially unusable, and a defensive change is cheaper than litigation.
• Acquisition alignment: A parent has acquired the company and wants the legal entity to carry the group name and brand.
• Sector readiness: Listing, sectoral licensing (NBFC, insurance, fintech) or a fundraise requires a more credible or sector-compliant name.
• Name correction: Spelling, punctuation or 'Private' versus 'Pvt.' inconsistencies between MCA records, signage and contracts are being cleaned up once and for all.

How It Actually Works

The change runs in six tightly linked phases. Skipping or reordering a step is the most common reason INC-24 gets rejected or the MGT-14 falls outside its window.

Step 1: Name Search and Reservation

Two to four proposed names are tested against the MCA name search, the IPR India trademark database and the Trade Marks Registry on a class-wise basis. The shortlist goes into RUN or SPICe+ Part A with a written justification, and the chosen name is reserved for 20 days. If the name uses a regulated word or an existing trademark, a No-Objection Certificate is attached upfront to pre-empt rejection.

Step 2: Board Resolution and EGM Notice

The board passes a resolution approving the proposed name and calling an Extraordinary General Meeting. A Section 102-compliant explanatory statement is drafted — not a generic paragraph, but a sharp explanation of why the new name fits the business better. Clear 21-day notice is issued to all members and auditors, or a shorter notice is taken with consent of 95% of the members.

Step 3: Special Resolution at the EGM

The EGM passes the special resolution under Section 13 altering MOA Clause I with a 75% majority of members voting. Where the new name reflects a structural change — for example 'Private Limited' becoming 'Limited' or vice versa — a Section 14 resolution altering the AOA is passed at the same meeting. Attendance, proxy and voting records are signed and filed.

Step 4: MGT-14 Inside 30 Days

Form MGT-14 is filed with the ROC within 30 days of the special resolution under Section 117, with the altered MOA and AOA as attachments. Missing the 30-day window forces a condonation of delay under Section 460, which adds 4 to 8 weeks and a separate Regional Director order before INC-24 can even be considered.

Step 5: Form INC-24 to the Regional Director

INC-24 carries the special resolution, board resolution, altered MOA and AOA, no-pending-litigation declaration, and a detailed rationale for the change. The Regional Director — or in delegated cases the ROC — reviews and approves, querying anything that looks rushed. We respond to RD queries the same week they arrive so the file does not slip into resubmission.

Step 6: Fresh Certificate of Incorporation

The Registrar issues a new CoI under Rule 29 with the old name explicitly noted on the certificate. The new name is legally effective from this date — the same CIN, the same date of incorporation, the same paid-up capital. The PAN, GST, IEC, MSME, bank and trademark cascade begins the same day to keep the operational and legal records in sync.

A Real Example: Sharma Textiles Becomes Aarav Technical Fabrics

Take Sharma Textiles Private Limited — a Surat-based exporter that has pivoted from cotton trading to technical textiles and wants to rebrand as Aarav Technical Fabrics Private Limited.

• Day 1–3: Three proposed names are searched against MCA, IPR India and the Trade Marks Registry across Classes 23, 24 and 25. 'Aarav Technical Fabrics' is clean; RUN is filed and the name reserved for 20 days.
• Day 4–8: Board passes a resolution; EGM notice with a Section 102 explanatory statement goes to all members and the statutory auditor; the clear-day notice clock starts.
• Day 29: EGM passes the special resolution under Section 13 altering MOA Clause I.
• Day 35: MGT-14 is filed with the altered MOA — well inside the 30-day window.
• Day 40: INC-24 is filed with rationale (pivot to technical textiles, alignment with export brand), undertakings and the resolution copy.
• Day 55: RD approves; fresh CoI issues under Rule 29 with the old name noted on the certificate.
• Day 56–65: PAN amendment, GST core-field amendment, IEC update with DGFT, bank KYC refresh, TM-M with the Trade Marks Registry and contract addenda go out in one coordinated batch.

Total cost to the company: government filing fees, stamp duty on the altered MOA and AOA per the Gujarat schedule, and the professional engagement fee — but only one EGM, one MGT-14 and one round of RD queries.

What Has to Be Updated After the New CoI

The legal entity continues — only its name has changed. But every register that carried the old name has to be updated, often within statutory windows. The cascade has more moving parts than first-time founders expect.

• Income tax: PAN amendment is filed online with the Income-Tax Department; TAN is updated in parallel. The old PAN remains, only the name on it changes.
• GST: Core fields amendment on the GST portal within 15 days of the new CoI. Tax officer approval typically follows in another 15 working days.
• DGFT and IEC: IEC is updated with DGFT — critical for exporters, because shipping bills in the new name will be rejected until the IEC reflects the change.
• Bank and lenders: The bank issues fresh KYC, fresh board resolution and a new cheque book in the new name. Lenders are notified, and loan documentation is supplemented with a name-change addendum.
• Trademark and IP: TM-M is filed with the Trade Marks Registry for each registered mark held by the company. Domain and email records are updated in lockstep.
• Sectoral licences: FSSAI, IRDAI, RBI, SEBI, BIS and other regulators each have their own name-change forms with their own attachments and timelines.
• Contracts and vendors: Master service agreements, leases, customer purchase orders, vendor masters and HR contracts are updated by addendum or formal intimation, depending on the original clause.

Until the cascade is closed, invoices issued in the new name while the PAN or GST registration still shows the old name create ITC reconciliation issues for your customers.

Where Name Changes Go Wrong

Five recurring patterns account for almost every name-change file that drags past 60 days.

• Weak name justification in INC-24: Generic 'business decision' rationale is now routinely returned by the RD. The explanation has to tie the new name to what the company actually does and why the change is needed now.
• MGT-14 filed late: The 30-day window from the special resolution is hard. Missing it forces a condonation application that adds four to eight weeks and a separate RD order.
• Trademark search skipped: A name that looks clean on the MCA portal can still conflict with a trademark in another class — caught either at RUN or, worse, at INC-24 stage.
• AOA not amended where required: If the new name reflects a status change (Pvt to Public, or vice versa), the AOA must be altered under Section 14 at the same EGM — not as an afterthought.
• Cascade left half-done: PAN updated, GST updated, but IEC or trademark left for later. Exports stall at customs and trademark renewal arrives in the old name.
• Old name used after CoI: Invoices, contracts and signage still carrying the old name after the new CoI issues create reconciliation, ITC and bank-mismatch problems.
• Signage and stationery overlooked: The Companies Act requires the new name and CIN on letterheads, signboards, invoices and notices — gaps here become inspection findings later.
