The Sale Deed is the document that actually transfers ownership of immovable property in India. Not the Agreement to Sell, not the booking letter, not the allotment letter, not the possession letter, not the General Power of Attorney โ only a properly stamped, properly registered Sale Deed conveys title from seller to buyer. The Supreme Court reaffirmed this unambiguously in Suraj Lamps & Industries (P) Ltd. v. State of Haryana (2011), holding that 'GPA Sales' transfer no title at all. By 2026 the Indian property market has internalised that lesson โ but it has not internalised the discipline of getting the Sale Deed itself right.
A Sale Deed that does the job has four anchors. Section 54 of the Transfer of Property Act, 1882 defines the sale and prescribes that any sale of tangible immovable property worth โน100 or more can be made only by a registered instrument. Section 17 of the Registration Act, 1908 makes registration of that Sale Deed compulsory. The State Stamp Schedule under the Indian Stamp Act, 1899 sets the stamp duty (typically 5โ7% across States, with women-buyer concessions of 1โ2% in Delhi, Punjab, Haryana, Rajasthan and select others). Section 194-IA of the Income-tax Act requires the buyer to deduct 1% TDS where the consideration exceeds โน50 lakh. The Specific Relief (Amendment) Act, 2018 sits behind all of this โ making specific performance the default remedy if the seller refuses to execute the Sale Deed after the Agreement to Sell.
