Family wealth in India sits in awkward places. An HUF formed forty years ago. Ancestral land still registered in a grandfather's name. A private company with shares spread across three generations. A flat in Dubai that no one quite agreed on. When the family decides to clean this up, a Family Settlement Agreement (FSA) is the document that does the actual work.
Done right, an FSA costs 1-3% stamp duty, gets recognised by the Income Tax Department, and ends the dispute permanently. Done wrong, it triggers 5-7% stamp duty, deemed-gift tax under Section 56(2)(x), and a fresh round of litigation between the very people it was meant to bring together. The difference is almost entirely in how the agreement is drafted, executed and followed through after signing.
Several changes in the last two years have reshaped how family settlements are drafted, taxed and recorded.
Family settlements are not template documents. The process runs in distinct stages, and skipping any one of them causes the FSA to fail at the authority it depends on most.
We start by building a written family tree showing every coparcener, heir and dependent, along with prior dispositions โ earlier partitions, gifts, wills and informal arrangements. In parallel we list every asset: HUF property, ancestral land, self-acquired property of the elders being included voluntarily, shares in family companies, business interests, jewellery, bank accounts, demat holdings and overseas assets.
Each asset gets a current value supported by a valuation report. This inventory becomes the schedule attached to the FSA.
A draft allocation table is circulated for family review. Where positions differ, we run structured facilitation sessions โ neutral, confidential and aimed at preserving relationships rather than winning arguments.
The output is a written allocation table signed in principle by all parties before the FSA itself is drafted. This prevents the agreement being re-opened during execution.
The agreement records the pre-existing rights of each party, the agreed allocation, mutual releases, covenants not to dispute, the dispute-resolution mechanism (arbitration or mediation) and a detailed schedule of properties.
Each clause is tested against the family arrangement doctrine so the concessional stamp duty rate holds and Section 56(2)(x) exposure is closed off.
Stamp duty is paid at the memorandum-of-family-arrangement rate applicable in the State where the immovable property sits. Registration is done at the sub-registrar, with all parties present or represented through a registered Power of Attorney.
Witnesses are arranged in advance and biometric verification is completed on the registration date.
For HUF property, a Section 171 application is filed with the Assessing Officer and the partition order obtained. For allocations involving a non-resident, FC-TRS or FLA filings are made under FEMA. Where private company shares move, ROC filings follow.
Each family member receives a Section 56(2)(x) carve-out memo confirming the allocation is exempt under the family arrangement doctrine.
Mutation in revenue records, share transfer in ROC, bank account splits, jewellery handover, demat off-market transfers and updates to insurance and nominee records.
Closure is a written report confirming each asset is now in the agreed name and every authority has accepted the change.
A Mumbai-based HUF was created in 1982 by the grandfather. His three sons and one daughter are the coparceners; the next generation has eight grandchildren. By 2026 the family owns a mix of assets across India and overseas:
The family agreed that the Pune property goes to the youngest son (who lives there), the Mumbai flat stays with the eldest, company shares are equalised across the three sons, jewellery goes to the daughter, the Dubai apartment stays with the second son with cash equalisation paid to siblings, and the financial portfolio is split four ways. Stamp duty on the FSA worked out to โน14.2 lakh at the 1.5% memorandum rate in Maharashtra, against โน47 lakh at the gift or sale rate the family would have paid if the FSA had been drafted as a transfer. The Section 171 partition order was obtained within 11 weeks of filing.
An FSA is not a one-and-done document. Several follow-through steps run for weeks or months after signature, and each one matters for the agreement to be treated as final by the relevant authority.
A Family Settlement Agreement that is signed but never implemented is the worst of both worlds โ it ends informal arrangements but creates no enforceable new ones.

The FSA is the document; execution is mutation in revenue records, share transfer in ROC and account splits in banks. Each step is run to closure, not left half-done.
