Phase II Soil and Groundwater Investigations

You have bought a factory in Vapi or signed an MoU for a Tarapur site, and the Phase I report has flagged old drum storage, a closed ETP, or fuel-tank history. That is the moment a Phase II Environmental Site Assessment stops being optional. Until you put boreholes in the ground and groundwater samples on a NABL lab bench, you are underwriting an unknown — and the National Green Tribunal has been increasingly willing to apply the Polluter Pays principle to whoever owns the land today.

A Phase II investigation is the difference between a deal that prices contamination correctly and one where a small purchase quietly carries crores of buried remediation liability. It is also, more practically, the document that lets your buyer's lender release funds, your SPCB notice be answered with data, and your seller's indemnity be sized to the actual risk on the title.

• Final output: A defensible report with vertical and lateral contamination mapping, remediation cost estimate, and deal-document or regulatory filing recommendations.

What's New for FY 2026-27

Environmental due diligence has tightened materially in the last two years. Five shifts deserve your attention before commissioning Phase II work.

• CPCB contaminated sites framework: The revised CPCB protocol on assessment and remediation of contaminated sites now expects tighter sampling density, with explicit down-gradient verification where off-site migration is plausible.
• NGT enforcement of Polluter Pays: Recent NGT orders have applied the Polluter Pays principle to current owners even where contamination predates the acquisition. Phase II evidence is now the primary basis to apportion liability between historical operators and current owners.
• PFAS on the analyte list: Per- and polyfluoroalkyl substances are appearing on buyer and lender request lists for sites with fire-foam history, textile finishing or chrome plating. Indian labs have begun offering PFAS panels under ISO 17025 scope.
• DPDP Act 2023 and site data: Where Phase II reports name individuals such as former employees or interviewed neighbours, the Digital Personal Data Protection Act 2023 requires lawful basis and data minimisation. Report templates have been updated accordingly.
• Vapour intrusion is no longer optional: For sites with chlorinated solvent history (TCE, PCE), buyers now expect a soil-vapour or sub-slab assessment, not just soil and groundwater. This catches indoor-air risks that pure soil sampling misses.

Why a Phase II Matters

The report does six concrete things for the people paying for it.

• Prices contamination into the deal: A buyer cuts the consideration, sets a holdback, or walks away based on quantified remediation cost. Without Phase II, the seller's verbal comfort is the only data point.
• Unlocks lender disbursement: Banks and NBFCs lending against brownfield collateral condition disbursement on a Phase II clean, or a sized escrow. The report is part of the security package.
• Sizes indemnity and escrow: An indemnity capped at 10% of consideration protects nothing if the true exposure is 60%. Phase II gives counsel a number to negotiate against.
• Defends against NGT and SPCB action: A site owner with a contemporaneous Phase II showing pre-existing contamination has documented evidence to apportion liability and rebut presumed default.
• Supports voluntary disclosure: Where an operator discovers contamination and discloses to the regulator before being caught, penalties have historically been moderated. Phase II is the disclosure document.
• Enables environmental insurance: Environmental Impairment Liability (EIL) insurers require Phase II findings to bind cover and set the deductible. No report, no policy.

An indemnity is only as strong as the number behind it. Phase II is what turns 'we accept full liability' into a clause your counsel can actually enforce.

How It Actually Works

Phase II is a sequence, not a single event. Skipping or compressing any of these steps weakens the report's defensibility.

Step 1: Sampling Design (3-5 days)

We review the Phase I findings, suspected source areas, site geology and groundwater flow direction. The sampling plan specifies borehole locations, depths, analyte list, well construction and quality-control density. Up-gradient samples establish background; on-site samples test suspected sources; down-gradient samples check off-site migration. This plan is the document your buyer's counsel, lender or regulator will scrutinise — it gets done properly or the whole investigation becomes contestable later.

Step 2: Field Mobilisation and Drilling (1-2 weeks)

Rotary or hollow-stem auger rigs are mobilised to site. Boreholes are advanced to the water table or target depth; soil samples are collected at predefined intervals using clean, dedicated equipment. Logs record lithology, odour, staining and PID readings. Where suspected hot-spots emerge, supplementary samples are added on site rather than waiting for a second mobilisation.

Step 3: Monitoring Well Installation and Groundwater Sampling (3-7 days)

Selected boreholes are completed as monitoring wells using slotted PVC casing, sand pack and bentonite seal. After well development, water levels are recorded, wells are purged and samples collected using low-flow or bailer methods per analyte requirements. Up-gradient, on-site and down-gradient wells form the minimum triangulation.

Step 4: NABL Laboratory Analysis (2-4 weeks)

Samples move under chain-of-custody to an ISO 17025 NABL-accredited lab. Methods follow IS, BIS, US EPA or APHA references as appropriate to the analyte: heavy metals by ICP-MS or AAS, hydrocarbons by GC-FID, VOCs by GC-MS, PFAS by LC-MS/MS. QC samples — duplicates, trip blanks, matrix spikes — confirm analytical reliability.

Step 5: Data Interpretation and Reporting (1-2 weeks)

Lab results are compared to CPCB benchmarks, Dutch Target and Intervention values, US EPA Regional Screening Levels or Canadian CCME — the most defensible benchmark for each contaminant. Contamination is mapped vertically and laterally. The report sets out findings, residual uncertainty, remediation options and cost estimate with a confidence range.

Step 6: Deal or Regulatory Translation (5-7 days)

Findings are translated into the language the user actually needs — escrow size for the buyer, condition precedent for the lender, response draft for the SPCB notice, claim form for the EIL insurer, or filing for voluntary disclosure. A report sitting in a drawer protects nobody.

A Real Example: Vapi Adjacent Plot Acquisition

A specialty chemicals company in Vapi was acquiring a 4.8-acre adjacent industrial plot for capacity expansion. Phase I had flagged a closed effluent treatment plant, two abandoned underground fuel tanks, and a history of phenolic resin operations from 1998 to 2014.

• Sampling design: 12 boreholes (8 soil, 4 completed as wells) across the suspected source areas, plus 2 up-gradient and 2 down-gradient locations. Analyte list covered heavy metals, TPH (DRO and GRO), VOCs, SVOCs and phenols.
• Field cost: ₹14.8 lakh — drilling, well materials, mobilisation, field crew over 14 days.
• Lab analysis cost: ₹6.4 lakh — 84 samples across 6 analyte groups, QC included.
• Findings: Phenol exceedance up to 38 mg/kg in a 0.3-acre area near the old reactor pad (CPCB threshold around 0.4 mg/kg). TPH exceedance below the fuel tanks. Groundwater clean off-site — no down-gradient migration.
• Remediation cost estimate: ₹2.4 crore for excavation, off-site disposal at a TSDF, and groundwater monitoring for 24 months.
• Deal outcome: Purchase price reduced by ₹1.6 crore. An ₹80 lakh escrow held against remediation cost overrun. Seller indemnity for contamination outside the identified zone capped at ₹4 crore for 7 years.

Total Phase II spend: about ₹23 lakh. Risk converted from unknown to priced, with documented protection against historic liability that would otherwise have transferred silently with the title.

What Backs Up Each Finding

A Phase II report is only as strong as its underlying records. When a buyer's counsel, a lender or the NGT asks how a conclusion was reached, the following documents have to be available immediately.

• Borehole and well logs: Lithological description at each interval, water-table elevation, PID screening readings, photographs of cores, and well construction details covering casing, screen, sand pack and seal.
• Chain-of-custody forms: Continuous record of sample possession from field to lab, signed at every handover, with date, time and sample condition noted.
• QC sample results: Field duplicates, trip blanks, equipment blanks and matrix spikes — typically 10% of sample count. Without these, lab data is not defensible at NGT or in lender review.
• NABL certificate and method statements: The lab's ISO 17025 scope must cover each analyte tested; method statements show calibration, detection limits and recovery ranges.
• Hydrogeological assessment: Groundwater flow direction, hydraulic gradient and aquifer characteristics — the basis for placing up-gradient and down-gradient wells correctly.
• Remediation cost basis: Vendor quotes, unit rates from comparable Indian remediation projects, and the assumptions behind volume estimates.

Where It Goes Wrong

Phase II investigations fail to protect their commissioners in predictable ways. The pattern is consistent across the cases we have reviewed for second-opinion work.

• Sample count too low for the site footprint: A 5-acre suspected source area with 3 boreholes proves almost nothing. Statistical defensibility needs density appropriate to the contamination footprint, not the budget.
• Wrong analyte list: Testing only for heavy metals at a site with solvent history misses the actual contamination. The analyte list comes from Phase I source identification, not a generic panel.
• Non-NABL lab to save cost: A lab without ISO 17025 NABL accreditation for the specific analyte renders the data inadmissible in NGT proceedings and unacceptable to most lenders.
• Broken chain-of-custody: A few unaccounted hours between site and lab lets opposing counsel argue tampering. The report becomes contestable.
• No background samples: Without up-gradient samples, you cannot tell whether arsenic at 12 mg/kg is contamination or natural geology. Buyers and regulators will ask.
• Skipping groundwater where relevant: Soil-only investigation at a site with a shallow water table and persistent contaminants misses the migration pathway and understates liability.
• Ignoring vapour intrusion: Chlorinated solvent sites without vapour assessment miss the indoor-air risk pathway, which is now the leading cost driver in solvent-impacted remediation.
• Report not translated into deal documents: A clean Phase II that is never reflected in the SPA's representations, indemnity or escrow leaves the buyer without contractual protection.

Most Phase II failures are not lab failures. They are design failures — wrong analyte list, wrong borehole count, missing background — that no amount of careful analysis can rescue.
