GST cancellation looks deceptively simple โ file Form GST REG-16, attach a stock statement, get the cancellation order. In practice, by 2026 it is one of the most poorly executed GST workflows in the country. Cancellation under Section 29 of the CGST Act, 2017 can be initiated either by the taxpayer (voluntary surrender, business cessation, transfer of business, change of constitution) or suo motu by the proper officer (continuous non-filing, fraudulent registration, non-commencement of business within 6 months of voluntary registration). Each route has different consequences, different reversal calculations, and different windows for revocation.
The most expensive mistake taxpayers make is treating cancellation as the end of the road. It isn't. Section 29(5) read with Rule 44 requires reversal of input tax credit on inputs in stock, inputs contained in semi-finished / finished goods in stock, and capital goods on the date immediately preceding the date of cancellation. Form GSTR-10 (Final Return) must be filed within 3 months of the cancellation order โ failure attracts โน100 per day late fee (capped) plus assessment under Section 62. Many cancelled GSTINs sit with un-filed GSTR-10s and ITC-reversal liabilities that surface 2-3 years later as DRC-01 demands against the (now-closed) entity, with personal liability traced to directors / partners under Section 89.

ITC reversal under Section 29(5) + Rule 44: ITC on inputs in stock, inputs in WIP / finished goods, capital goods (proportionate based on remaining useful life of 5 years from invoice date). Reversal is the higher of (a) ITC originally taken or (b) tax payable on the value of such goods at cancellation date.
GSTR-10 final return within 3 months: Stock statement, ITC reversal computation, tax payable on stock-in-hand. Late filing = โน100 / day late fee per Act (CGST + SGST), assessment u/s 62 if continued default.
E-way bill / e-invoice access blocked: Cancelled GSTIN cannot generate EWBs or IRNs from the cancellation effective date.
Outstanding refunds / ITC ledger: Refunds claimed before cancellation continue to processing; unutilised ITC in electronic credit ledger lapses (no carry-forward).
Where cancellation is suo motu (officer-initiated), the taxpayer can apply for revocation under Section 30 read with Rule 23, in Form GST REG-21, within 30 days of communication of the cancellation order (extendable to 60 days by Joint Commissioner and a further 90 days by Commissioner โ total 180 days, post the FY 2022-23 amendment). The revocation requires filing of all pending returns, payment of tax, interest and late fees, and a written explanation of why returns were not filed. Beyond 180 days, revocation is not legally available โ the only remedy is a fresh registration, with break in the GSTIN history.
Reason for cancellation correctly mapped (cessation, transfer, constitution change, voluntary) โ wrong code is the most common cause of REG-19 rejection.
Stock-in-hand, WIP, finished goods, capital goods reversal calculated at the higher-of test; supported by stock register and CA certificate.
Final return drafted, reconciled with REG-16 stock statement, filed within statute โ no โน100 / day pile-up; closure achieved cleanly.
Where cancellation is suo motu, REG-21 with all pending returns, dues paid, explanation drafted to the officer's standard for approval.
Section 89 director liability mapped; tax dues cleared before closure to avoid personal recovery later; book NOC issued.
Cancellation cascaded โ IEC update, e-invoice deactivation, e-way bill block, bank AD code update โ no orphan compliances left dangling.
