Closing a GSTIN sounds like a formality โ submit an application, receive an order, move on. In practice, it is one of the most consequential filings you will make under the GST framework. The wrong reason code on Form REG-16, a miscalculated ITC reversal, or a missed GSTR-10 deadline can leave your directors personally liable for unpaid dues under Section 89, long after the business has wound down.
GST cancellation under Section 29 of the CGST Act has five distinct phases: choosing the correct legal basis, computing stock-in-hand ITC reversal under Rule 44, handling the officer's show-cause notice (REG-17), receiving the cancellation order (REG-19), and filing the mandatory final return (GSTR-10) within three months. Miss any one of them, and your GSTIN remains technically alive on the portal โ generating late fees and audit exposure with every passing month.
Three GST system changes since October 2024 directly affect how cancellation applications are processed, verified, and closed.
Cancellation follows a six-step sequence. The first three steps happen before anything is submitted to the GST portal.
We pull your return-filing status, ITC ledger balance, cash ledger position, outstanding refund applications, and any SCNs already in the system. We also confirm the optimal effective cancellation date โ that date determines your ITC reversal quantum under Rule 44, and an ill-chosen date can increase the tax payable at GSTR-10 significantly.
Every outstanding GSTR-1 and GSTR-3B must be filed before REG-16 is submitted โ an officer's first check is your return-filing history, and even one open return triggers an SCN. Late fees are paid, any tax or interest arrears settled via cash ledger challans, and any GSTR-9 due for prior years is also filed at this stage.
A physical stock statement is prepared as on the chosen effective date โ inputs, WIP, finished goods, and capital goods (with acquisition date and ITC availed per the capital goods register). Rule 44 reversal is computed at the higher of: (a) ITC on the current value of stock at the applicable GST rate, or (b) ITC proportionate to the remaining useful life of capital goods. A CA certificate accompanies the full computation.
Form REG-16 is filed on the GST portal with the correct reason code, the chosen effective cancellation date, the stock statement, the CA certificate, and all reason-specific supporting documents โ board resolution, merger order, transfer agreement, or death certificate, depending on the reason. Accurate reason code selection on the first filing is the single biggest factor in avoiding an SCN delay.
Many REG-16 applications generate a REG-17 SCN โ typically asking for ITC reconciliation, return filing confirmation, or additional documents. We draft the reply with supporting schedules reconciled to the corrected GSTR-2B and IMS records, and attend any personal hearing the officer calls. The reply is usually submitted within 7 working days of SCN receipt.
